In recent times many legislators and regulators have intensified their attention to run their enterprise in a precise and a corporate style. How about you? Where do you find yourself in the race?

Company laws or the corporate laws are the most dominant entities of the modern times. This is the most crucial part of any business as it provides a platform and a scope for all legal communications, amongst the board members of the company. In any big corporation, the corporate law creates an environment for directors, shareholders, employees, stakeholders, consumers and creditors to interact with each another under the corporate rules. Most of them appoint representatives amongst employees, shareholders and management to codetermine the company’s strategy.

Corporate laws are often sub-categorized into –

  • Corporate governance: It is moreover concerned with various power relations within the company
  • Corporate finance: It is focused on how the capital should be utilized by the company

This law deals with the firms that are registered or incorporated under the company or the corporate laws of the sub-national or the sovereign state.

These are the four characteristics of any modern corporation –

  • Delegated management: The control of the company is placed under the direct hands of the Board and the Directors
  • Limited liability: It’s for the shareholders so that when the company becomes insolvent, they will owe only the funds that they have subscribed for the shares
  • Separate legal personality: This law treats the company as a human being, so it will have the right to sue or sued in its own name
  • Shares: Share in various stock exchanges such as New York Stock Exchange, London Stock Exchange, Paris Euronext, etc.
